Course Description
What I have learned over the years is that most people, from startup founders to investors don't understand the cap table, and consequently their ownership, on a deep level.
Most founders lack the knowledge to model out future rounds and don't grasp key economic terms when negotiating their term sheet. This course will change that.
Most investors don't know how the waterfall will work in a liquidity event and what the liquidation preference really means to their overall return.
So, I created this course to teach the breadth of professionals involved in early stage capital how this all really works. It is exhaustive and touches on every key point I know that is economic to a deal. Learning how to plan and understand the ownership of your company is critical to keeping motivation and maximizing returns.
The course is taught through excel. It is hands on, get dirty, struggle to understand until the lightbulb goes off and you get it right. I teach it the exact way that i learn, which is by doing. It is step by step with commentary on the specifics.
What it is not, however, is a course in excel. While their are not overly complicated functions involved, you should have a base knowledge or you will get frustrated.
The value of this course is what it will save you in attorney's fees, equity, and potentially greater returns on your investments. You can learn how to project and manage your growth and join a community of people going through the same struggles.

I've spent several years in the trenches hammering out cap tables for investors and startups. I have done everything from simple transactions to extremely complicated ones that required conversion of notes and warrants.
I've seen nearly every type of deal and syndicated across many parts of the country.
I am a learn by doing type of guy and teach in a style catered to people like me

Agree with other comments that say he doesn't spend enough time on explaining the concepts behind the calculations. The excel mapping is extensive and thorough (albeit overly fast at points), but the course requirements should be updated from "know some basic investment terminology" to "intermediate/advance understanding of investment concepts."

Currently at chapter 16. Complex to follow without knowledge on funding, but I'll check the course again after completing the Excel to better understand topics, I think I'll also complement searching for information in Internet. Anyway, this is exactly what I was searching for to understand how it works. I don't see any final Excel to download, I think this is the only point to improve.

Extremely complicated way of modelling convertibles, waterfall and anti dilution. Talks about no concept at all, only talks about to calculate concepts in excel. I actually learnt 20% of what the trainer taught. Further I have seen other waterfall formats this format is not at all easy to understand and isnt aligned with the industry. Recommend not to take this.

I liked it, being able to explore more models further. However, I would have liked to dive a bit deeper into the concepts a bit more. Especially the last part. However I loved the fact that this course was very hands-on, and he walked me through the entire process of creating the model, the only thing now to to practice by creating series C and D rounds of funding to drill the course into my brain. There isn't any other course that I've found that shows the equity distribution, and how different debt levels can affect the equity of investors/founders.

I give 4,5 stars because I didn't find any other person explaining these concepts. Even though I had a major in Finance I didn't have these skills, since are such specific that just a VC associate could know these. However, I need to mention that the course is not easy at all ! It is for those already owning a medium level of Finance know-how (for high i mean VC/PE practitioners) and also a good level knowledge of term sheets and the related clauses. The professors skills are 100% incredibly good in excel modelling and VC but He could have explained a little better the "why" behind the model and each step, since I needed to stop plenty of times and understand things by my own, losing a lot of time.

Having had a smattering introduction to this topic, this content has provided some appreciated flesh on the bones. This is a "how" course - not so much a "why and then how" course. I think it will serve very well as a foundation as I am better able to explore other resource material and other people's work products.

Kinda, although I still have to start from the top to get a good grasp of all the concepts, it was taught properly and I did not miss a step in building the model, I was able to follow through from the beginning to the end. I just wished he explained all the terminologies so the lectures could be easily understood.

It's great for people with a solid understanding of VC deals. If you're still learning the ropes (what's an option, dilution, participation, etc), this probably isn't for you.

Completely hands on. I did not know much of it, but just by working through the formulae of this sheet, I have a good fundamental understanding of how the waterfall really works.

Solid course, did a few sessions a night before bed, and I must say I was always eager for the next days sessions! There are many software programs out there that will do the calculations for you, however, getting down and dirty gives appreciation for how much detail is involved and all the knobs and switches of cap tables. I have worked with Cap Tables for several companies over the years and not one of them, was a simple Founder, Seed, A, B etc, there is always convertible notes, there is always some type of conversion that takes place and these are a must understand. Investors are smart people, they know what they are doing and seek to maximize their position while minimizing their risk. I enjoyed this course and learned a lot and really appreciate the Cap Table Software I use! Only opportunity for the course was the speed, i felt it went a little fast, Mr Grant knows his stuff, I just had to go back a watch, re-watch, pause, correct, re-watch. Overall, if you want to learn how cap tables, I definitely recommend this course.
